Organisation
- The Institution of Railway Operators has been established under the Companies Acts of 1985 and 1989 as a Company limited by guarantee and not having share capital.
- The Institution is managed by a Board of not less than seven and not more than twelve members. Composition of the Board is set out in the Articles of Association:
- Three persons each of whom holds the position of a senior manager at Network Rail
- Three persons each of whom holds the position of a senior manager at a train operating company
- One person who holds the position of a senior manager at a railway infrastructure contractor
- Up to five persons each of whom does not hold a position at Network Rail, a train operating company or a railway infrastructure contractor
This structure has been devised to ensure that the Board can include, where appropriate, expertise from Metros, Light Rail systems, Heritage Operators, consultancies etc.

- The Institution is managed through a series of Area Councils whose purpose is to:
- Promote the aim of the Institution and take responsibility for the recruiting of new members
- Arrange meetings and visits
- Facilitate mentoring of individuals through the educational programme
- Arrange workshops and seminars as part of the educational process
Area Councils comprise a Chairman, Secretary, Treasurer and up to seven other members. Area Councils reflect the mix of companies with membership potential in their areas. Members will be affiliated to the Council applicable to their correspondence address, although exceptions can be made on application.

- The Board has established an Education Management Group, responsible for establishing and keeping under review a comprehensive range of learning modules and projects. It also has responsibility for accreditation procedures for industry-based training schemes.
- The Board has also established a Membership Committee to manage all aspects of administration surrounding application and grading.
